Purchaser is a consumer or an entrepreneur.

General terms and provisions

  1. Consumer is a private individual acting in a private capacity, entering into an agreement or otherwise dealing with SHADOW Slovakia s.r.o.
  2. Entrepreneur is an individual licensed to get engaged in business on one’s own account and responsibility with an intention to generate profit on a continuous basis. For the purposes of consumer protection, an entrepreneur is (including but not limited to) an individual entering into contracts/agreements relating to the entrepreneur’s business, manufacturing or similar activities or employment; or an individual acting on behalf or on account of an entrepreneur in question. For the purposes hereof, an entrepreneur is an individual acting in compliance with the preceding sentence as part of one’s own business. By entering the registration number in the order, the entrepreneur acknowledges having been bound by the rules stipulated in the General Business Terms and Conditions for Entrepreneurs.

The adoption, administration and conclusion of the purchase contract

  1. The proposal of the purchase contract is the buyer's order, the purchase contract becomes binding and is concluded as soon as the buyer and seller agree with this proposal and enters into force as soon as the buyer receives the order confirmation from the seller. As soon as the buyer receives the order, mutual rights and obligations arise between them, the buyer is informed about the claim procedure and business conditions of the online store in the annex to the order confirmation. Confirmation is carried out by using means of communication such as e-mail, website, telephone, fax, mailing list, or offer catalog. The purchase contract is concluded at a distance, its confirmation is performed without the physical presence of the seller and the consumer. The stated business terms and conditions apply to the concluded purchase contracts of the online store on the website htps://www.knifestock.eu (hereinafter "online store"). By marking the field at the end of the order, the consumer declares that he has read and understood these terms and conditions based on the purchase contract of the online store and agrees with them on the basis of this act.
  2. Administration of the purchase contract is determined by the provisions of the Act No. 102/2014 Z.z. o ochrane spotrebiteľa pri predaji tovaru, or poskytovaní služieb na základe zmluvy uzavretej na diaľku or zmluvy uzavretej mimo prevádzkových priestorov predávajúceho a o zmene a doplnení niektorých zákonov (hereinafter “zákon č. 102/2014 Z.z.”) and sales and business terms and conditions.

Personal data protection

  1. The seller commits to the protection of the personal data of the buyer that will not be otherwise disclosed or provided to the third party. The exception is the specific situation related to the payment system and the delivery of the ordered goods to the consumer, where the consumer states his name, phone number and delivery address. The seller commits to act in such a way that the personal and confidential data of the buyer are not misused, so that the rights of the subject are not violated. The seller also protects the personal and private life of the buyer.
  2. Voluntarily provided personal data of buyers to the seller are used for the purpose of processing the order as well as advertising or marketing actions of the seller. They are subsequently collected, processed and saved in accordance with applicable laws of the Slovak Republic, in particular Act No. 18/2018 Z.z., o ochrane osobných údajov, effective until the buyer expresses his disagreement with this data processing sent to info@knifestock.eu. The buyer has the right to access and correct his personal data, including the right to request the removal of wrong data.
  1. On the basis of §28 Act. No. 122/2013 the buyer has right to:
    1. request confirmation from the seller whether his personal data are available by written request, 
    2. request information on how his personal data are processed,
    3. request information about the source from which the seller obtained his personal data,
    4. require a list of personal data that are subject to processing,
    5. require the correction or disposal of his perosnal data which are incorrect, incomplete or outdated,
    6. require the removal of his personal data, which are processed in case of a breach of the law,
    7. require the blocking of personal data due to the revocation of the consent before the expiry of its validity, if the seller processes personal data upon the consent of the data subject,
    8. object to the use of the provision of their personal data against the processing by written form and to request their removal if these data are processed and used for the purposes of direct marketing without his consent. 
  2. Regarding to the claim procedure, the following information is required from customers: name, surname, address, telephone number, e-mail and signature or digital signature. All personal data acquired in this way are processed exclusively for the purpose necessary for the claim procedure and in accordance with Act no. 1222013 Zb., o ochrane osobných údajov.
  3. After agreement, the seller may further process the so-called "cookies" in order to facilitate the provision of information society services, in accordance with the provisions of Directive 95/46/EC on the purpose of "cookies" or similar tools, and to ensure that users are aware of the information stored. Users have the option to refuse the "cookies" or similar tools to be stored on their end devices, e.g. by launching incognito browsing functionality in browser.
  4. We are the user of the Remarketing application from Google, thanks to which the seller has information about the customer's movement on the website www.knifestock.eu Based on this application, customers advertisements of our company are shown to customers. This process does not store the personal information of the website visitor, only his movement. This information is then stored in a web browser and Google retrieves it in order to display advertisements on other websites. This behavior can be revoked by the customer on the Google website or by following the instructions on the Network Advertising Initiative.

Information about the price of goods and its availability

  1. Information about the goods are avilable on the online store website and come from publicly available sources and official websites of specific goods producers. The illustrations shown for the products may not be accurate. The price of the goods includes value added tax (VAT) and fees related to the recycling of surplus material. The consumer is informed about the current price of the goods, including the price of transport directly on the website in the main card of the selected product, also in the shopping zone when choosing the method of delivery of goods.
  2. Discounted products can be purchased while stocks exhausted or unless the conditions for the product discount changes otherwise.
  3. An order 
    1. The consumer makes an order of goods available on the online store www.knifestock.eu according to the procedure instructioms described in "How to buy". This manual is available in the menu of the online store. The final sending of the order is conditioned by confirmation of acquaintance and granting of consent to the bussiness and sales conditions.
    2. After sending the order, an information e-mail with the subject "Summary of the order from the online store www.knifestock.sk" will be sent to the consumer, by which the seller confirms the order for processing. However, it does not conclude a purchase contract between the seller and consumer. If necessary, all further information regarding to your order will be sent to the given e-mail address. In case of specific product for one consumer, which the seller does not provide in his standard offer i.e. product made according to the specific requirements of the consumer, it can be charged an advance payment of a maximum 50% of the total price of the ordered product. The seller shall inform the consumer about it.
    3. The consumer can cancel such an order before delivery of the product and thus withdraw from the purchase contract, by paying a severance pay in the amount of the advance payment, while the seller is entitled to take the advance payment as the severance pay.
    4. However, the procedure above does not apply to an specific order, which includes modifications to of the product at the initiative of the customer.

Binding by the offer and cancellation of the order

  1. The seller is committed to the offer including the product price from the time of order confirmation via an information e-mail with the content of the order confirmation at the online store www.knifestock.eu until the expiration of the delivery period.
  2. The seller reserves the right to cancel the order or part of the order before concluding the purchase contract in cases of:
    1. sale or unavailability of goods
    2. the product is no longer produced or delivered, or the price has changed significantly
    3. inability to ensure the delivery of the goods by the seller to the consumer within the period specified in the business conditions
  3. The buyer is informed about the cancellation of the order by phone or e-mail. In case of early payment of the goods, or only a part of it, the payment will be returned within 14 days to the bank account specified by the buyer, unless the buyer and seller agree otherwise. In this case, the purchase contract will not be concluded.
  4. All orders received by the online store www.knifestock.eu are binding. The order can be canceled before it is shipped. In the event that the order is not canceled before the dispatch, and will be dispatched, the customer may be required to pay for the costs associated with the dispatch of ordered goods. The buyer can cancel the order by e-mail or phone. When canceling the order, it is necessary to announce your name, e-mail address and the number of the order.
  5. Refund of the purchase price: the Seller is obliged to refund to the Customer the full amount paid for the goods, including the cost of delivery of the goods.

  6. Cost of returning the goods: The cost of returning the goods back to the Seller shall be borne by the Consumer, unless otherwise agreed with the Seller or the Seller has informed the Consumer that such costs shall be borne by the Consumer.

The withdrawal from the purchase contract

Right of the withdrawal from the contract of the buyer (consumer)

The consumer may return the goods without giving a reason within 14 days from the date of receipt of goods in accordance with the law §7 o ochrane spotrebiteľa pri predaji tovaru alebo poskytovaní služieb na základe zmluvy uzavretej na diaľku alebo zmluvy uzavretej mimo prevádzkových priestorov predávajúceho a o zmene a doplnení niektorých zákonov (Act No.102/2014 Z. z.). The buyer is obliged to deliver the withdrawal from the contract in written form together with the goods to the seller. Withdrawal form together with instructions on the exercise of the consumer's right of withdrawal can be found HERE.

    2. The product must be sent by courier company or brought to the above address. The cost of returning the goods is paid by the consumer. The goods should be returned by the consumer within 14 days from the date of withdrawal from the purchase contract together with complete documentation, undamaged, clean and if possible, including the original packaging, in the condition and value in which the buyer received the goods. In case of incomplete or damaged returned goods, the seller may demand from the consumer an amount corresponding to the reduction in the value of the goods (in accordance with §10(4) zákona o ochrane spotrebiteľa pri predaji tovaru alebo poskytovaní služieb na základe zmluvy uzavretej na diaľku alebo zmluvy uzavretej mimo prevádzkových priestorov predávajúceho a o zmene a doplnení niektorých zákonov). 
    3. The consumer acknowledges that if he withdraws from the contract, he will pay the costs of returning the goods to the seller and, if he withdraws from the distance contract, also the costs of returning the goods, which by their nature cannot be returned by post.

  2. Regarding to cases where withdrawal from the contract is demonstrably agreed with the consumer's consent, the consumer thus loses the right and cannot withdraw from the contracts:
    1. in case of goods made according to the consumer's special requirements, custom-made goods or goods made specifically for one consumer
    2. in case of goods which is subject to rapid and fast deterioration
    3. The consumer acknowledges that if gifts are provided with the ordered goods, the gift contract is concluded between the seller and the buyer with the condition that if the right to withdraw from the purchase contract is exercised, the gift contract expires and the buyer is obliged to return the gift with the returned goods. If these gifts are not returned, it will be understood as unjust enrichment of the buyer. In case of withdrawal from the gift contract, the purchase contract does not expire and the contracts are assessed separately in this respect.

Right of the withdrawal from the contract of the buyer (entrepreneur)

If the goods are purchased by a person in connection with his business activity (which is decided by the indication of the IČO number on the purchase document), the right to withdraw from the purchase contract is not recognized according to the Commercial Code, which does not allow this possibility. The buyer acknowledges that in the case of ordering goods in the online store delivered on the basis of a special order of the buyer does not fall into the goods listed in §12, par. 5, Act No. 108/2000 Z.z and cannot be returned in accordance with the previous point.

Payment conditions

  1. The seller accepts payment conditions:
    1. payment PayPal 
    2. payment by the card via payment gateway (payment by card online), while bank automatically remembers the details of the buyer's payment card entered by the buyer for future payments (the buyer can cancel this option),
    3. cash payment at personal order collection (cash is taken over by courier) 

The product remains the property of the seller until the full payment and takeover, but the risk of damage to the goods after takeover passes to the buyer. Billing information of the buyer cannot be changed after sending the order.

Delivery conditions

In general, unless otherwise stated and the goods are available in stock, the delivery date of the goods remains from 1 to 2 business days, depending on the chosen payment and delivery method by the buyer from the date of the order confirmation by the consumer. If the goods are not available in stock, the buyer will be informed about the date of its availability on the product page or by e-mail or phone. The consumer is entitled to check the goods received by the courier company before signing the acceptance documents. In case of damage or defective goods, the buyer is obliged to inform the seller immediately, no later than 24 hours from the date of taking over the goods. If the consumer finds damage on the package of the goods, he shall write it in the acceptance documents of the particular courier company. The seller informs the consumer about the dispatch of the goods no later than the day before the delivery. The consumer is responsible for the accuracy of the contact details provided to the seller and thus ensures a smooth delivery process of goods by the transport company. If the consumer cannot fulfill this obligation, he determines another person, who will be responsible for taking over the goods and thus agrees with the seller on an alternative takeover of the goods. However, this procedure cannot be applied when buying goods in installments. The buyer is obliged to identify himself with a valid ID in order to verify the accuracy of the data provided in the order before taking over the goods. If he does not do so, the seller has the right not to hand over the goods to the consumer.

Warranty of goods

The warranty conditions are based on the Reklamačný poriadok predávajúceho as well as other related valid slovak legislation acts. The purchase document serves as a warranty document (or warranty document if delivered).

Final provisions 

  • These general terms and conditions come into force by concluding a purchase contract between the seller and consumer. By sending the order, the buyer confirms that he has read these general terms and conditions and agrees with them. The seller reserves the right to change or modify these conditions at any time without prior notice if required by a change in business and sales policy or applicable legislation. The obligation of seller to notify the change in these general terms and conditions is fulfilled by placing it on the seller's e-shop website. Until the full pass of the ownership from the seller to the buyer, who holds the products and services, the buyer is obliged to safely store the products and services at his own expense and mark them so that they are identifiable as the seller's goods in all circumstances.
  • Any disputes between the Shadow Slovakia s.r.o. and buyers can also be resolved out of court. In such a case, the buyer-consumer may contact the entity for alternative dispute resolution, such as the Slovak Trade Inspection, or resolve the dispute through a dedicated ODR platform on this website. However, the Seller recommends to contact the Shadow Slovakia s.r.o. first and to resolve the situation before the out-of-court settlement of the dispute.
  • These general business and sales conditions are valid from 01.11.2018 and repeal previous versions. The seller reserves the right to change them without prior notice.
